If you order, access, or use consultancy services, software services, hosted services, support services, or AI-powered tools from Universoftware Ltd, the Platform Services Terms and any applicable order form, proposal, statement of work, pricing terms, or related document also apply.

Permitted Use

You may use the site for legitimate informational and business-enquiry purposes only.

You must not:

  • use the site or any browser-based feature for any unlawful, fraudulent, abusive, or harmful purpose;
  • attempt to gain unauthorised access to the site, underlying systems, or connected services;
  • interfere with the integrity, performance, or security of the site;
  • submit malware, malicious code, spam, or content intended to disrupt operations;
  • scrape, harvest, or mass-download the site using automated means in a way that imposes unreasonable load or bypasses our controls;
    • use AI-powered or interactive site features to generate unlawful, infringing, deceptive, discriminatory, or harmful content;
  • submit secrets, passwords, highly confidential information, or special category data into the public assistant unless we expressly request it through a separate secure process; or
  • misrepresent your identity, affiliation, or authority when contacting us.

Interactive and AI-Powered Features

You acknowledge and agree that:

  • assistant outputs may be incomplete, inaccurate, or unsuitable for your specific situation;
  • assistant outputs are not legal, financial, tax, medical, employment, compliance, or other professional advice;
  • you remain responsible for evaluating and verifying any output before acting on it;
  • we may use third-party providers to generate outputs or operate those features; and
  • we may suspend, rate-limit, block, or withdraw access to those features at any time.

Use of AI-powered features is also subject to our AI Assistant Policy and Acceptable Use Policy.

AI-powered features on the site must not be relied on for decisions that could materially affect legal rights, financial outcomes, regulatory compliance, employment matters, health, safety, or similar high-impact matters.

Enquiries and Submitted Content

If you submit information through a contact form, assessment form, email link, or an interactive site feature:

  • you confirm that you have the right to submit that information;
  • you remain responsible for the content you provide;
  • you grant us a non-exclusive, worldwide, royalty-free licence to use that content only to operate the site, respond to you, review business opportunities, maintain security, and improve service handling; and
  • you must not submit content that is unlawful, defamatory, infringing, or otherwise in breach of these terms.

Intellectual Property

Unless otherwise stated, the site, its design, copy, branding, software, and other materials are owned by or licensed to Universoftware Ltd and are protected by intellectual property laws.

To the fullest extent permitted by law, we disclaim all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

We do not guarantee that:

  • the site will always be available, uninterrupted, or error-free;
  • defects will be corrected within any particular timeframe;
  • content or outputs will be accurate, complete, current, or suitable for your needs; or
  • the site will be free from vulnerabilities, harmful code, or third-party disruption.

Limitation of Liability

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

Subject to that:

  • we are not liable for any indirect, incidental, special, consequential, punitive, or exemplary loss;
  • we are not liable for loss of profit, revenue, business opportunity, goodwill, anticipated savings, contracts, or data;
  • we are not liable for losses arising from reliance on the public AI assistant or any website content; and
    • our total aggregate liability arising out of or in connection with the site or these terms will not exceed the greater of GBP 100 and the total amount, if any, you paid us directly for the affected website feature in the 12 months before the event giving rise to the claim.

If you enter into a separate written agreement with us for services, the liability terms in that agreement govern those services instead.

Indemnity

You agree to indemnify and hold harmless Universoftware Ltd, its officers, employees, and contractors from losses, claims, liabilities, damages, and expenses arising out of your misuse of the site, your breach of these terms, or your infringement of any third-party rights.

Suspension and Termination

We may suspend, restrict, or terminate your access to all or part of the site at any time, with or without notice, if we reasonably believe that:

  • you have breached these terms;
  • your use creates security, legal, or reputational risk;
  • we are required to do so by law or regulation; or
  • continued operation of the relevant feature is no longer commercially or technically viable.

The site may reference or integrate third-party services. We are not responsible for third-party websites, products, or services, and linking to them does not imply endorsement.
